One part deserves your attention before you read the rest: subscriptions renew automatically until you cancel, and cancelling is done in your App Store or Google Play account, not here (sections 5 and 7). ## Agreement to these terms These Terms & Conditions (“Terms”) are a binding agreement between you and Neiso (“tokki,” “we,” “us”). They cover the tokki mobile app, this website, and any related services (together, the “Service”). By downloading, creating an account, or using the Service, you accept these Terms and our [Privacy Policy](https://gettokki.com/privacy). If you do not accept them, do not use the Service. ## Who may use tokki You must be at least 13 years old to use the Service. If you are between 13 and the age of majority where you live, you may use it only with the involvement of a parent or guardian who agrees to these Terms on your behalf and is responsible for your use of the Service and for any charges. You may not use the Service if you are barred from doing so under applicable law, or if we have previously terminated your account. ## Your account Give us accurate information when you sign up and keep it current. You are responsible for everything that happens under your account and for keeping your credentials secure. Do not share your account with anyone else. Tell us at [hind@gettokki.com](mailto:hind@gettokki.com) if you suspect unauthorized use. You can delete your account at any time from Settings › Account. Deleting your account does not automatically cancel a subscription bought through the App Store or Google Play (see section 7). ## Your licence to use tokki We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the Service on devices you own or control, for your own non-commercial learning. That licence lasts as long as you comply with these Terms. You may not copy, modify, translate, reverse engineer, decompile, or create derivative works from the Service; rent, lease, sell, sublicence, or distribute it; remove any notice of ownership; or use it to build a competing product, except to the extent this restriction is prohibited by law. ## Subscriptions and billing Some features require a paid subscription. Subscriptions are sold and billed through the App Store or Google Play, not by us directly. Prices, billing periods, and taxes are shown in the app before you confirm. **Automatic renewal.** Your subscription renews automatically at the end of each billing period at the then-current price, and your store account is charged within 24 hours before the period ends. It keeps renewing until you cancel. Your store account, not us, is the record of your purchase. We receive only your subscription status from Apple or Google, and we unlock features based on it. If that status does not match what you believe you bought, contact us and we will help you resolve it with the store. ## Free trials and offers We may offer a free trial or promotional price. Unless we say otherwise, a trial converts into a paid subscription automatically when it ends, and your store account is charged the standard price. Cancel at least 24 hours before the trial ends to avoid the charge. Trials and offers are limited to one per person or store account, may be withdrawn at any time, and cannot be combined unless we say so. ## Cancellation and refunds Cancel at any time in your store account settings: on iOS, Settings › your name › Subscriptions; on Android, Google Play › Payments & subscriptions. Cancel at least 24 hours before the period ends, or the next period is charged. Deleting the app does not cancel a subscription. After you cancel, paid features stay available until the end of the period you have already paid for. We do not provide partial refunds for unused time. **Refunds are handled by Apple and Google under their own policies, not by us.** Request one through the store you bought from. Nothing here limits refund or withdrawal rights you have under mandatory consumer law where you live. ## Changes to the app and prices We improve the Service continuously, which means features may be added, changed, or removed. We may also change subscription prices. A price change applies to your next billing period, and we will give you notice in advance as the app stores require, so you can cancel before it takes effect. Continuing your subscription after a price change takes effect means you accept the new price. ## Acceptable use Do not: - Break the law, or use the Service to infringe anyone's rights. - Access the Service by any means other than the interfaces we provide, or scrape, crawl, or bulk-download its content. - Interfere with the Service, probe or test its security, or try to get around rate limits, authentication, or paywalls. - Upload malware or anything designed to harm the Service or its users. - Impersonate anyone, or misrepresent your affiliation with a person or organization. - Share, resell, or provide access to your account or to paid content. - Use automated systems to create accounts or generate activity. ## Content you submit Some features may let you enter your own material: saved vocabulary, notes, bug reports, or feedback. You keep ownership of what you submit. You grant us a worldwide, royalty-free licence to host, store, reproduce, and process it solely to operate and improve the Service. You are responsible for what you submit and confirm you have the rights to submit it. If you send us ideas or suggestions, we may use them without obligation or compensation to you. ## Our intellectual property The Service and everything in it (lessons, exercises, audio, text, images, software, design, and the tokki name and logo) belong to us or our licensors and are protected by copyright, trademark, and other laws. These Terms give you a licence to use the Service, not any ownership of it. All rights we do not expressly grant are reserved. ## Third-party services The Service relies on third parties, including Apple, Google, our hosting providers, and PostHog for analytics and crash reporting. Your use of those services is governed by their own terms, and we are not responsible for them. Links to other websites are provided for convenience and are not an endorsement. ## Disclaimers The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the content is accurate or complete. **tokki is a learning aid. We do not guarantee any particular level of Korean proficiency, exam result, or learning outcome.** Results depend on you. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you. ## Limitation of liability To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to the Service, whether based on contract, tort, or any other legal theory, even if we have been advised of the possibility. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or fifty euros (€50). These limits do not apply to liability that cannot be excluded by law, such as for fraud, gross negligence, or death or personal injury caused by our negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. ## Indemnification You agree to indemnify and hold harmless Neiso and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or of anyone else's rights. ## Suspension and termination You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we discontinue the Service. Where practical and lawful, we will give you notice. If we terminate your account without cause, we will refund the unused portion of a prepaid subscription period. On termination, your licence ends immediately. Sections 10 through 17 and 21 survive termination. ## Governing law and disputes If you have a problem, contact us first at [hind@gettokki.com](mailto:hind@gettokki.com) describing the issue and what you would like us to do. Most disputes can be settled this way, and we will try to resolve yours within 60 days. These Terms are governed by the law of the country in which Neiso is established, and disputes are subject to the jurisdiction of its competent courts. If you are a consumer, this does not deprive you of the protection of the mandatory consumer laws of your country of residence, and you may bring proceedings in the courts of that country. Consumers in the European Union may also use the European Commission's online dispute resolution platform. ## Apple App Store terms This section applies if you download tokki from the Apple App Store, and prevails over anything inconsistent elsewhere in these Terms. - These Terms are between you and us only, not with Apple. Apple is not responsible for the app or its content. - Your licence to use the app is limited to use on Apple-branded devices you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. - Apple has no obligation to provide any maintenance or support for the app. - If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our responsibility. - Apple is not responsible for addressing any claim by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection or privacy law. - If a third party claims the app infringes their intellectual property rights, we, not Apple, are responsible for the investigation, defence, settlement, and discharge of that claim. - You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties. - **Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.** ## Google Play terms This section applies if you download tokki from Google Play. These Terms are between you and us only, not with Google. Google is not responsible for the app or its content and is not a party to these Terms. Your use of Google Play is governed by the Google Play Terms of Service, and purchases are processed under Google's payment terms. Refunds are handled according to Google Play's refund policy. ## Changes to these terms We may update these Terms. We will post the new version here and change the date at the top. If the changes are material, we will notify you in the app or by email at least 14 days before they take effect. Continuing to use the Service after that means you accept the updated Terms. If you do not accept them, stop using the Service and cancel any subscription. ## General These Terms and the [Privacy Policy](https://gettokki.com/privacy) are the entire agreement between you and us about the Service, and replace any earlier agreement on the same subject. If any provision is held unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
